This role reports to the Group Legal Director
Context/Scope:
The role reports directly to the Group Legal Director but has many significant cross-functional interactions and mutual dependencies in EABL.
The role interacts directly with the Group Managing Director of EABL and the Chairman of the Board as part of its governance responsibility.
The role is part of the wider Global Company Secretary and Global Legal Functions.
Purpose of role:
The Company Secretary has a wide range of responsibilities in relation to corporate governance and compliance and general company secretarial issues. EABL takes a leadership role in the area of corporate governance and this applies as much to its subsidiaries as for Diageo plc. The Company secretary is responsible for all aspects of compliance, corporate governance and board meeting support for all of Diageo’s companies in Ireland. The role is varied which will necessitate very good prioritization skills.
Market Complexity:
EABL operates within a multi-cultural, multi-national, multi-currency environment. EABL comprises integrated supply and demand businesses in Tanzania, Uganda and Kenya as well as exports businesses into South Sudan, Rwanda, Burundi and elsewhere.
EABL has differing market shares in its beer and spirits businesses in different markets, which are therefore subject to a variety of regulatory regimes, some of which are more developed than others. This requires detailed understanding of the company’s different risk profiles and the context of each market and its regulatory environment.
As part of a multi-national corporate group such as Diageo plc, EABL is subject to additional external and internal requirements than other local companies.
Significant challenges arise from a sometimes unpredictable legislative and judicial system due in part to insufficiency of legislation, untested law and often political and societal pressures.
Top Accountabilities:

Determine, recommend to the Board of EABL and implement the appropriate Corporate Governance arrangements for the EABL entities.

Act as Company Secretary to all EABL entities (including subsidiaries and associate companies)

Act as Secretary to the Trustees of the EABL Group Pension Scheme
*.
Responsibility for preparation of Annual Returns and the filing of these within statutory timelines for all companies.
*.
Responsibility for ensuring that all other necessary returns and forms are prepared and filed on the appointment and resignation of directors or secretaries, changes of address, share capital restructuring etc.

Preparation of Minutes etc. for company meetings.
*.
Responsible to the Boards of each statutory entity for absolute statutory filing compliance.

Pivotal involvement with the EABL Legal Entity Management Group taking the lead on company secretarial, governance and compliance matters.
Qualification & Experience:

Company Secretary qualification with relevant certification in Kenya
*.
Degree in Law
*.
Professional qualification in the company secretary and legal and discipline in Kenya (as well as Uganda, Tanzania, Rwanda, Burundi, South Sudan would be ideal but not necessary)
